1. Acceptance of Terms
By accessing, browsing, or using Vidfer ('the Platform', 'we', 'us', 'our'), you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ('Terms'). If you do not agree to any part of these Terms, you must immediately cease using the Platform. These Terms constitute a legally binding agreement between you and Vidfer. We reserve the exclusive right to update, modify, or replace these Terms at any time without prior individual notice. Your continued use of the Platform after any changes constitutes acceptance of the new Terms. It is your responsibility to review these Terms periodically.
2. Eligibility
By using the Platform, you represent and warrant that: (a) you are at least 18 years of age or the age of majority in your jurisdiction, whichever is higher; (b) you have the legal capacity to enter into binding contracts; (c) you are not located in a country that is subject to sanctions or embargoes; (d) you are not on any government list of restricted or prohibited parties; (e) you have not been previously suspended or removed from the Platform; and (f) all information you provide is truthful, accurate, and complete. The Platform is not intended for users under 18. If we discover that a user under 18 has registered, we will terminate the account immediately without refund.
3. Account Registration & Security
You must create an account to access Platform features. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain and promptly update your account information; (c) maintain the confidentiality of your login credentials; (d) not share your account with any other person; (e) notify us immediately of any unauthorized use of your account; (f) be fully responsible for all activities that occur under your account; and (g) not create multiple accounts. We reserve the right to refuse registration, suspend, or terminate accounts at our sole discretion. You are liable for all losses incurred by us or any user due to unauthorized use of your account.
4. User Verification & KYC
All users must complete identity verification before accessing certain Platform features. Vidfer implements Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures as required by applicable laws. You agree to provide government-issued identification, proof of address, and any other documentation we reasonably request for verification purposes. We reserve the right to use third-party verification services. Failure to complete verification or providing false documents may result in immediate account suspension, forfeiture of funds, and reporting to relevant authorities.
5. Platform Services
Vidfer is a video promotion and engagement platform that connects content creators ('Buyers') with users ('Sellers' or 'Watchers') who watch videos, provide feedback, and complete promotional tasks. The Platform acts as an intermediary and does not guarantee task completion, quality of work, or specific outcomes. We facilitate transactions, provide dispute resolution, and enforce platform rules. All interactions, agreements, and disputes are solely between Buyers and Sellers unless otherwise specified. We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.
6. Buyer Obligations & Campaign Rules
Buyers agree to: (a) provide clear, lawful, and complete task requirements; (b) set fair and transparent compensation; (c) review completed work within the specified timeframe; (d) not request illegal, harmful, deceptive, or fraudulent tasks; (e) ensure all campaign materials (videos, descriptions, links) comply with applicable laws and do not infringe third-party rights; (f) not create campaigns promoting hate speech, violence, illegal substances, gambling, adult content, or any regulated activity without proper licensing; (g) maintain sufficient funds in their account to pay for all active campaigns; and (h) not attempt to manipulate platform systems, ratings, or reviews. Violation may result in campaign removal, account suspension, and forfeiture of funds.
7. Seller Obligations & Conduct
Sellers agree to: (a) complete all accepted tasks honestly, diligently, and in accordance with buyer requirements; (b) provide genuine, original feedback and not use plagiarized or automated responses; (c) not use bots, scripts, fake accounts, VPNs, or any automated tools to complete tasks; (d) not create multiple accounts to circumvent restrictions; (e) not collude with other users to artificially inflate engagement or ratings; (f) maintain professional communication with buyers; (g) not share confidential campaign information with third parties; and (h) comply with all Platform policies. Violation may result in forfeiture of earnings, account termination, and legal action.
8. Rating & Review Policy
Ratings and reviews are intended to reflect genuine user experiences. The following rules apply: (a) all ratings and reviews must be honest, accurate, and based on actual experience; (b) users may not manipulate, artificially inflate, or deflate ratings or reviews; (c) buying or selling reviews is strictly prohibited; (d) reviews must not contain hate speech, personal attacks, spam, or unrelated content; (e) we reserve the right to remove, modify, or disable ratings and reviews that violate these Terms or are determined to be fraudulent or misleading at our sole discretion; (f) we are not obligated to monitor reviews but may do so at our discretion; (g) users may report suspicious reviews to abuse@vidfer.com; (h) ratings and reviews are provided for informational purposes only and do not constitute an endorsement by Vidfer. We are not liable for any reliance placed on ratings or reviews by users.
9. Prohibited Activities
The following activities are strictly prohibited on the Platform: (a) fraud, deception, or misrepresentation of any kind; (b) creation or use of fake, fictitious, or multiple accounts; (c) use of automated bots, scripts, crawlers, or AI tools to interact with the Platform; (d) manipulating views, clicks, ratings, reviews, or any engagement metrics; (e) engaging in money laundering, terrorist financing, or any financial crime; (f) uploading malicious code, viruses, or content that harms the Platform or its users; (g) attempting to hack, reverse-engineer, or breach Platform security; (h) scraping, data mining, or unauthorized collection of user data; (i) posting content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory; (j) impersonating any person or entity; (k) violating any applicable local, national, or international law; (l) engaging in any activity that could damage, disable, or impair the Platform; and (m) encouraging others to violate these Terms. Violations will be reported to relevant authorities and may result in criminal prosecution.
10. Content Monitoring & Moderation
Vidfer has the right, but not the obligation, to monitor, review, screen, remove, edit, or refuse to display any content, campaigns, messages, or materials submitted to or transmitted through the Platform. We may take such action at any time, with or without notice, and in our sole discretion, including but not limited to content that we believe violates these Terms, applicable law, or is otherwise objectionable. We are not responsible for any failure or delay in removing such content. Users acknowledge that they have no expectation of privacy or confidentiality regarding any content submitted to public or semi-public areas of the Platform. We do not pre-screen all content and cannot guarantee that inappropriate content will not appear. Users are encouraged to report violations using the reporting mechanisms provided.
11. Anti-Scam & Fraud Prevention Policy
Vidfer has zero tolerance for scams, fraud, or deceptive practices. Any user found to be: (a) defrauding other users; (b) creating fake tasks or orders; (c) using stolen payment methods; (d) chargeback fraud; (e) phishing other users; (f) operating pyramid or Ponzi schemes; or (g) any other fraudulent activity will have their account permanently terminated, all funds forfeited, and their information shared with law enforcement and other platforms. We actively monitor for suspicious activity and cooperate fully with financial regulators and law enforcement agencies worldwide. Users found facilitating fraud through our Platform will be pursued to the fullest extent of the law.
12. Payments, Fees & Pricing
Buyers purchase packages and credits as listed on our pricing page. All prices are in the currency displayed and exclude applicable taxes unless stated otherwise. Sellers earn rewards for completed tasks at rates determined by the Platform and/or Buyers. Payments are processed through secure third-party payment processors. We reserve the right to: (a) change fees and pricing with 30 days notice; (b) charge service fees, transaction fees, or processing fees as disclosed; (c) withhold payments pending verification or dispute resolution; (d) reverse transactions found to be fraudulent or erroneous; and (e) set minimum and maximum transaction limits. All fees are non-refundable except as expressly stated in our Refund Policy.
13. Refund & Chargeback Policy
Refunds are handled on a case-by-case basis. Buyers may request refunds for incomplete, non-delivered, or non-compliant tasks. Once a task is marked complete and accepted, the associated funds are released to the Seller and are generally non-refundable. Disputed transactions must be reported within 14 days. Chargebacks initiated through payment providers will result in immediate account suspension and a permanent ban. Users who file fraudulent chargebacks will have their debt pursued through collections and legal action. We reserve the right to deduct chargeback amounts plus processing fees from any outstanding balance owed to the user.
14. Withdrawal Policy
Sellers may withdraw available earnings through approved payment methods. Withdrawals are subject to: (a) successful identity verification; (b) minimum withdrawal thresholds as specified on the Platform; (c) applicable processing fees and timeframes; (d) anti-fraud review and holding periods; (e) tax withholding where required by law; and (f) availability of funds cleared from buyer payments. We reserve the right to delay or refuse withdrawals pending investigation of suspicious activity. Withdrawal limits, methods, and processing times may change at our discretion. We are not responsible for delays caused by third-party payment processors or banks.
15. Taxes
Users are solely responsible for determining and fulfilling their tax obligations arising from use of the Platform, including but not limited to income tax, sales tax, VAT, GST, and any other applicable taxes. Vidfer does not provide tax advice. We may be required to withhold taxes from your earnings as mandated by applicable laws and will provide relevant tax documentation (such as Form 1099 or equivalent) where required. You agree to indemnify Vidfer against any tax claims, penalties, or interest arising from your failure to comply with tax obligations.
16. No Guarantee of Earnings
Vidfer makes no guarantees, representations, or warranties regarding the amount of earnings, income, or compensation you may generate through the Platform. Earnings depend on numerous factors including task availability, quality of work, buyer demand, and market conditions. Any examples, projections, or earnings claims shown on the Platform or marketing materials are illustrative only and do not constitute a promise or guarantee of future earnings. Users should not rely on the Platform as their sole source of income. We are not responsible for any lost income, profits, or financial expectations.
17. Intellectual Property Rights
Users retain ownership of their original content, including videos, feedback, and campaign materials. By submitting content to the Platform: (a) you grant Vidfer a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content for Platform operations; (b) you grant Buyers or Sellers (as applicable) a license to use submitted content for the intended purpose of the task; (c) you represent that you own or have all necessary rights to the content; (d) you agree not to submit content that infringes any third-party intellectual property rights. The Vidfer name, logo, brand, platform design, technology, software, and algorithms are proprietary to Vidfer and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.
18. DMCA & Copyright Takedown Policy
Vidfer respects the intellectual property rights of others and expects users to do the same. In accordance with the Digital Millennium Copyright Act (DMCA) and similar laws worldwide, we will respond expeditiously to claims of copyright infringement. If you believe that any content on the Platform infringes your copyright, please submit a written notice to our Designated Copyright Agent at: Email: dmca@vidfer.com. Your notice must include: (a) a physical or electronic signature of the copyright owner or authorized representative; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the infringing material and its location on the Platform; (d) your contact information (address, phone, email); (e) a statement that you have a good faith belief that use is not authorized by the copyright owner; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and you are the copyright owner or authorized to act on their behalf. Upon receipt of a valid notice, we will remove or disable access to the allegedly infringing material and notify the user who posted it. Users who believe their content was removed in error may submit a counter-notification to dmca@vidfer.com. We will terminate the accounts of repeat infringers in appropriate circumstances.
19. Third-Party Services & Links
The Platform may contain links to third-party websites, services, payment processors, or content that are not owned or controlled by Vidfer. We do not endorse, control, or assume responsibility for third-party services, their availability, security, privacy practices, or content. Your use of third-party services is at your own risk and governed by their terms and policies. We are not liable for any damages, losses, or claims arising from third-party services. This includes but is not limited to payment gateways, analytics providers, hosting services, and social media platforms integrated with the Platform.
20. Non-Circumvention & Non-Solicitation
To maintain the integrity of our Platform and ensure fair compensation for services provided, you agree not to: (a) communicate with other users outside the Platform for the purpose of circumventing our fees or terms; (b) solicit, encourage, or request any user to complete transactions, tasks, or payments outside the Platform; (c) share personal contact information (email, phone, social media handles, address) with other users for the purpose of bypassing the Platform; (d) hire, engage, or pay any user you discovered through the Platform for services performed outside the Platform; (e) attempt to replicate, copy, or re-create Platform services for your own benefit using relationships formed through the Platform. Violation of this section constitutes a material breach of these Terms and may result in account termination, forfeiture of funds, and a fee equal to the greater of $500 USD or the fees that would have been charged for the transactions conducted off-platform. This section survives termination of your account.
21. Relationship of Parties
Nothing in these Terms shall be deemed to create a partnership, joint venture, employment, agency, franchise, or fiduciary relationship between you and Vidfer. You are an independent contractor and have no authority to bind Vidfer or incur obligations on our behalf. You are solely responsible for your own actions, taxes, benefits, and insurance. The Platform provides a venue for Buyers and Sellers to connect, and each user acts on their own behalf, not as an employee, agent, or representative of Vidfer. Neither party has the right to control or direct the other's activities, methods, or operations.
22. Limitation of Liability
To the maximum extent permitted by applicable law: (a) Vidfer is provided on an 'AS IS' and 'AS AVAILABLE' basis without warranties of any kind, express or implied; (b) we disclaim all warranties including merchantability, fitness for a particular purpose, non-infringement, and course of performance; (c) we do not warrant that the Platform will be uninterrupted, secure, error-free, or free of viruses; (d) in no event shall Vidfer, its directors, employees, partners, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages; (e) our total liability for any claim shall not exceed the greater of $100 USD or the amount you have paid us in the 12 months preceding the claim; (f) this limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise); (g) some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
23. Indemnification
You agree to indemnify, defend, and hold harmless Vidfer, its officers, directors, employees, agents, affiliates, partners, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use or misuse of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your content or campaign materials; (e) your interactions with other users; (f) any tax obligations arising from your Platform activities; (g) any fraud, misrepresentation, or illegal activity by you; and (h) any claim that your content infringes third-party rights. We reserve the right to assume exclusive defense of any claim subject to indemnification, in which case you will cooperate fully.
24. Termination & Suspension
We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to: (a) violation of these Terms; (b) fraudulent, abusive, or illegal activity; (c) requests by law enforcement or government agencies; (d) unexpected technical or security issues; (e) extended inactivity; and (f) at our sole discretion, if we determine termination is in the best interest of the Platform community. Upon termination: (i) your right to use the Platform immediately ceases; (ii) any pending tasks may be cancelled; (iii) you may forfeit pending earnings if termination is for cause; (iv) we may delete your account data subject to legal retention requirements. You may terminate your account at any time by contacting support. Terms that by their nature should survive termination (including intellectual property, indemnification, liability limitation, and dispute resolution) shall survive.
25. Suspension & Appeal Process
If your account is suspended or terminated, you may request an appeal by contacting appeals@vidfer.com within 30 days of the suspension or termination notice. Your appeal must include: (a) your full name and email associated with the account; (b) the date of suspension or termination; (c) a detailed explanation of why you believe the action was taken in error or why reinstatement is warranted; and (d) any supporting evidence or documentation. We will acknowledge receipt within 5 business days and make a decision within 30 days of receiving the complete appeal. We reserve the right to accept or reject appeals at our sole discretion. If your appeal is rejected, you may not submit another appeal for the same issue unless there is new material evidence. During the appeal process, your account will remain suspended unless we determine otherwise. This section does not apply to accounts terminated for illegal activity, fraud, or where we are required by law to maintain the suspension or termination.
26. Dispute Resolution & Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved through the following process: (a) Informal Resolution — You must first contact support@vidfer.com and attempt to resolve the dispute informally within 30 days; (b) Binding Arbitration — If informal resolution fails, disputes shall be finally settled by binding arbitration administered in accordance with the rules of the jurisdiction specified below; (c) Class Action Waiver — You agree to resolve disputes on an individual basis and waive any right to participate in class action, class arbitration, or representative proceedings; (d) Governing Law — These Terms shall be governed by and construed in accordance with the laws of Pakistan, without regard to conflict of law principles; (e) Jurisdiction — Any arbitration or legal proceedings shall be conducted in Lahore, Pakistan; (f) The prevailing party shall be entitled to recover reasonable legal costs and expenses; (g) Notwithstanding the above, Vidfer may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
27. International Use & Compliance
The Platform is accessible worldwide, but we make no representation that the Platform or its content is appropriate or legal for use in all locations. Users access the Platform from jurisdictions of their own choice and are responsible for compliance with local laws. You must comply with all applicable export control and sanctions laws, including but not limited to those of the United Nations, United States, European Union, and Pakistan. You may not use the Platform if you are: (a) located in a country subject to comprehensive sanctions; (b) listed on any restricted party list; or (c) using the Platform in violation of local laws prohibiting such services. We reserve the right to block access from certain jurisdictions at our discretion.
28. Force Majeure
Vidfer shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, strikes, labor disputes, government actions, pandemics, epidemics, power failures, internet disruptions, cyberattacks, hardware failures, or failure of third-party services. Our obligations under these Terms shall be suspended during any such event. If a force majeure event continues for more than 30 days, either party may terminate affected services without liability.
29. Entire Agreement & Severability
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Vidfer regarding your use of the Platform and supersede all prior agreements, communications, and proposals, whether oral or written. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect. The failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
30. No Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Vidfer to be effective.
31. Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms, whether by operation of law or otherwise, without our prior written consent. Any attempted assignment without consent shall be void. Vidfer may assign or transfer these Terms freely, in whole or in part, without notice or consent, including in connection with a merger, acquisition, reorganization, or sale of assets. These Terms shall bind and inure to the benefit of the parties and their permitted successors and assigns.
32. Electronic Communications & Signatures
By using the Platform, you consent to receive electronic communications from us (including email, in-app notifications, and SMS). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. Your use of the Platform constitutes your electronic signature and agreement to these Terms. You agree that electronic records, contracts, and signatures are valid and enforceable.
33. Data Protection & Privacy
Your privacy is critically important to us. Our Privacy Policy explains in detail how we collect, use, store, process, and protect your personal information. By using the Platform, you consent to our data practices as described in the Privacy Policy, which is incorporated into these Terms by reference. We comply with applicable data protection laws including but not limited to the GDPR (General Data Protection Regulation) for users in the European Economic Area and UK, and the CCPA (California Consumer Privacy Act) for users in California, USA. You have rights to access, correct, delete, and port your data as detailed in the Privacy Policy.
34. Reporting Violations & Abuse
If you encounter content, behavior, or activity that violates these Terms or applicable law, please report it immediately to abuse@vidfer.com. Reports should include: (a) description of the violation; (b) specific content or user involved; (c) date and time of occurrence; (d) any supporting evidence (screenshots, links). We take all reports seriously and will investigate promptly. We may take actions including content removal, user suspension, account termination, and reporting to law enforcement. We will protect the confidentiality of reporters to the extent possible under applicable law.
35. Feedback & Suggestions
We welcome feedback, suggestions, and ideas for improving the Platform. By submitting feedback, you agree that: (a) we are under no obligation of confidentiality regarding your feedback; (b) we may use, disclose, and implement your feedback without restriction or compensation; (c) you waive any moral rights or attribution claims; and (d) your feedback does not contain confidential or proprietary information of third parties. This section does not affect your statutory rights regarding personal data.
36. Language & Translation
These Terms are originally drafted in English. Any translations are provided for convenience only. In the event of any discrepancy or conflict between the English version and a translated version, the English version shall prevail. Communications regarding these Terms or the Platform shall be conducted in English unless otherwise agreed.
